Terms and Conditions

These Terms explain the rules for using Ofidely, a WhatsApp-first loyalty management service for local businesses and their customers.

1. Acceptance of these Terms

These Terms apply when you access or use Ofidely as a business, customer, visitor, or other user. By using Ofidely, you agree to these Terms.

If you use Ofidely on behalf of a business, you confirm that you are authorized to accept these Terms for that business.

2. About Ofidely

Ofidely helps local businesses operate loyalty programs through WhatsApp and QR codes. Businesses can manage loyalty settings, communicate with customers, award points, and redeem rewards.

Ofidely provides software tools only. Participating businesses remain responsible for their products, services, customer relationships, promotions, loyalty rules, and redemption decisions.

3. Business responsibilities

Businesses must provide accurate information, keep their account secure, and ensure that their loyalty program, messages, images, and rewards are lawful, fair, and not misleading.

Businesses are responsible for honoring the loyalty terms they communicate to customers. Ofidely may review, suspend, or deactivate a business account if it appears inaccurate, unsafe, abusive, unlawful, or inconsistent with these Terms.

4. Customer participation

Customers may participate in a business loyalty program by scanning a QR code or messaging the Ofidely bot through WhatsApp.

Customers must use the service honestly and must not attempt to obtain rewards through fake visits, repeated unauthorized scans, automation, impersonation, or other abusive behavior.

5. WhatsApp and third-party services

Ofidely uses WhatsApp and related third-party services to send and receive loyalty messages. Use of WhatsApp is also subject to WhatsApp's and Meta's own terms, policies, and privacy practices.

Businesses must not use Ofidely to send spam, unlawful content, deceptive promotions, prohibited products or services, or messages that violate WhatsApp, Meta, or applicable legal requirements.

6. Loyalty points and rewards

Loyalty points are promotional benefits offered by the participating business. Unless a business clearly states otherwise, points have no cash value and cannot be sold, transferred, exchanged for money, or treated as stored value.

Each business controls its own reward value, eligibility rules, redemption process, and customer status. Ofidely may help record and display points, but the business is responsible for reward decisions and customer disputes.

7. Abuse prevention

Ofidely and participating businesses may use reasonable checks to prevent abuse, fraud, duplicate claims, or misuse of loyalty programs.

If suspicious activity is detected, points may be refused, an account may be restricted, a customer may be marked inactive for a specific business, or additional review may be required before redemption.

8. Content and images

Businesses are responsible for all content they provide through Ofidely, including business names, messages, reward descriptions, and images.

Businesses must have the rights to use any image or content they upload and must not submit content that is illegal, misleading, harmful, offensive, infringing, or inappropriate for customer communications.

9. Availability and changes

Ofidely may change, improve, suspend, or discontinue parts of the service at any time. The service may also be affected by internet connectivity, device issues, messaging platform availability, business configuration, or third-party service providers.

Ofidely may update these Terms from time to time. Continued use of the service after changes are posted means you accept the updated Terms.

10. Prohibited use

You must not use Ofidely for unlawful activity, harassment, spam, phishing, fraud, unauthorized access, security circumvention, harmful content, or any activity that violates applicable laws or platform rules.

You must not interfere with the service, misuse another person's account or phone number, or attempt to manipulate loyalty balances or redemptions.

11. Disclaimers

Ofidely is provided on an as-available basis. Ofidely does not guarantee uninterrupted service, error-free operation, specific business results, customer retention, revenue, or reward outcomes.

Ofidely is not responsible for the acts, omissions, products, services, promises, or promotions of participating businesses.

12. Limitation of liability

To the maximum extent permitted by law, Ofidely will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, business interruption, or loyalty disputes.

Where liability cannot be excluded, Ofidely's liability will be limited to the amount paid to Ofidely for the service during the three months before the claim, or the minimum amount permitted by law if no fees were paid.

13. Contact

Questions about these Terms may be sent to the Ofidely support or operator contact provided to the business. Customers may also contact the participating business about its own loyalty rules and rewards.
