Terms and Conditions

These Terms explain the rules for using Ofidely as a Business, Customer, visitor, or other user.

1. Introduction

These Terms and Conditions govern access to and use of Ofidely, a loyalty management service that helps local businesses run customer loyalty programs through WhatsApp and related web tools.

By creating an account, accessing the service, scanning an Ofidely QR code, messaging the Ofidely bot, or otherwise using Ofidely, you agree to these Terms. If you do not agree, you must not use the service.

2. Definitions

"Ofidely", "we", "us", and "our" refer to the operator of the Ofidely service.

"Business" means a local business or authorized representative using Ofidely to manage a loyalty program. "Customer" means a person who participates in a Business loyalty program through Ofidely. "Service" means the Ofidely website, dashboard, WhatsApp bot, QR code flows, loyalty records, messaging, and related support.

3. Eligibility

You must be legally able to enter into these Terms and use the Service in accordance with applicable law.

If you use Ofidely on behalf of a Business, you confirm that you have authority to bind that Business to these Terms and to manage its loyalty program.

4. Business Account

A Business may need to create an account and provide accurate contact, business, and loyalty program information. Businesses are responsible for keeping account credentials secure and for all activity under their account.

Ofidely may review, approve, reject, suspend, or deactivate a Business account where information is incomplete, inaccurate, misleading, unlawful, unsafe, or inconsistent with these Terms.

5. Description of Services

Ofidely provides tools for Businesses to create loyalty settings, generate QR codes, receive customer messages, award loyalty points, redeem points, review customer status, and view basic loyalty activity.

Ofidely is a software service. Each Business remains responsible for its own products, services, customer relationships, reward rules, promotions, redemptions, and disputes.

6. Subscription and Payments

Some features may be offered for a fee, subscription, usage charge, or other payment arrangement. Pricing, billing frequency, included features, and payment terms will be communicated to the Business before paid use begins.

Unless otherwise stated, payments are non-refundable except where required by law or expressly agreed by Ofidely. Ofidely may suspend or limit access for unpaid, failed, disputed, or overdue payments.

7. Business Responsibilities

Businesses must provide accurate information, configure loyalty rules clearly, honor rewards they offer, respond to customer questions, and ensure their messages, images, promotions, and redemption practices are lawful, fair, and not misleading.

Businesses must not use Ofidely to send spam, deceptive messages, prohibited content, unlawful offers, or communications that violate WhatsApp, Meta, or applicable messaging rules.

8. Customer Data

Businesses may access customer information related to their own loyalty program, including contact details, loyalty activity, point balances, account status, and risk review information.

Businesses must use customer information only for legitimate loyalty, customer service, fraud prevention, and business purposes related to the relevant loyalty program, and must handle customer information in accordance with applicable law.

9. Ofidely Responsibilities

Ofidely will use reasonable efforts to provide and maintain the Service, support core loyalty flows, protect account access, and process loyalty-related messages according to the configuration set by each Business.

Ofidely may monitor the Service for security, reliability, abuse prevention, legal compliance, and enforcement of these Terms.

10. Acceptable Use

You must not use Ofidely for fraud, harassment, impersonation, phishing, spam, unauthorized access, security circumvention, illegal activity, or manipulation of loyalty balances or redemptions.

Customers must not attempt to obtain rewards through fake visits, repeated unauthorized scans, automation, account misuse, false identities, or other abusive behavior.

11. Intellectual Property

Ofidely and its logos, designs, software, workflows, content, and related materials are owned by Ofidely or its licensors and are protected by applicable intellectual property laws.

Businesses retain ownership of content they provide, such as business names, messages, images, and reward descriptions. By submitting content to Ofidely, Businesses grant Ofidely the right to use it as needed to operate, display, and deliver the Service.

12. Confidentiality

Businesses may receive access to non-public information about Ofidely, customers, or the Service. Businesses must use such information only for authorized purposes and must not disclose it except as required to operate their loyalty program or comply with law.

Ofidely will treat non-public Business information with reasonable care and use it only as needed to provide, secure, improve, and support the Service.

13. Service Availability

Ofidely is provided on an as-available basis. The Service may be interrupted, delayed, limited, or unavailable because of maintenance, internet connectivity, device issues, third-party platforms, messaging providers, security events, or circumstances beyond our control.

Ofidely does not guarantee uninterrupted access, error-free operation, specific delivery times, customer retention, revenue growth, or particular loyalty outcomes.

14. Limitation of Liability

To the maximum extent permitted by law, Ofidely will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost revenue, lost data, business interruption, customer disputes, or reward-related claims.

Where liability cannot be excluded, Ofidely's total liability will be limited to the amount paid to Ofidely for the Service during the three months before the claim, or the minimum amount permitted by law if no fees were paid.

15. Indemnification

Businesses agree to defend, indemnify, and hold Ofidely harmless from claims, losses, liabilities, damages, costs, and expenses arising from their loyalty program, customer communications, uploaded content, reward offers, legal violations, misuse of the Service, or breach of these Terms.

16. Suspension and Termination

Ofidely may suspend, restrict, or terminate access if a user or Business violates these Terms, creates risk for customers or Ofidely, provides inaccurate information, fails to pay applicable fees, or uses the Service in a harmful, unlawful, or abusive way.

A Business may stop using the Service at any time, subject to any applicable payment or retention obligations. Certain records may be retained where needed for legal, security, dispute, or legitimate business purposes.

17. Changes to the Service

Ofidely may update, improve, limit, replace, or discontinue parts of the Service at any time. We may also update these Terms from time to time.

When changes are material, we will take reasonable steps to notify Businesses or publish the updated Terms. Continued use of Ofidely after changes are posted means you accept the updated Terms.

18. Governing Law

These Terms are governed by the laws of Cameroon, without regard to conflict of law principles.

Where possible, the parties will first attempt to resolve disputes informally and in good faith. If a dispute cannot be resolved informally, it may be submitted to the competent courts of Cameroon unless applicable law requires otherwise.

19. Contact Information

Questions about these Terms may be sent to Ofidely through the support or operator contact made available through the Service. Customers may also contact the participating Business about that Business's loyalty rules, rewards, and customer service matters.
